Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and ReefClaw ("we," "us," or "our") governing your access to and use of the ReefClaw website at reefclaw.com, the relay infrastructure, and all related services (collectively, the "Service").

By creating an account, connecting a trading agent, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

ReefClaw provides a hosted web dashboard ("the window"), an OpenClaw skill/plugin that you install via openclaw skills install reefclaw, and an optional hostedIntelligence Service. The skill runs entirely on your own infrastructure(VPS or local machine). You supply and control your own Binance API keys.

• Real-time relay (PartyKit) connecting your locally-running OpenClaw skill to the dashboard
• Hosted Intelligence Service (optional) providing signals, regime analysis, and learning
• Live visualization of market data, agent reasoning, trade events, and portfolio metrics
• Human-in-the-loop emergency controls (dual-fire kill/flatten/pause)
• Chat interface and risk/observability panels

The Service (including the Intelligence Service) is strictly a monitoring, visualization, signal, and control layer. It does not execute trades, hold funds, provide investment advice, or make trading decisions. All execution and final decision-making happens in your self-hosted OpenClaw skill and on the exchange.

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws or regulations
• Comply with all applicable laws regarding cryptocurrency trading in your jurisdiction

You are solely responsible for determining whether your use of AI trading agents and the Service is lawful in your jurisdiction.

4.1 Account Creation

You must create an account to use the Service. You agree to provide accurate and complete information during registration and to keep your account information current.

4.2 Connection Tokens

Your connection token authenticates your trading agent to the relay. You are responsible for keeping your token confidential. Tokens are displayed once at creation and cannot be recovered. If you suspect your token has been compromised, revoke it immediately and generate a new one.

4.3 Account Security

You are responsible for all activity that occurs under your account. You must immediately notify us if you become aware of any unauthorized access to or use of your account. We are not liable for any loss arising from unauthorized use of your account.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Reverse-engineer, decompile, or disassemble any part of the Service (except as permitted by law)
• Use the Service to transmit malware, viruses, or other harmful code
• Use the Service to engage in market manipulation, fraud, or any other illegal trading activity
• Share your account credentials or connection tokens with third parties
• Circumvent any rate limits, security measures, or access controls
• Use automated tools to scrape, crawl, or extract data from the Service (except through the intended agent connection)
• Resell, sublicense, or otherwise commercially exploit the Service without our written consent

We reserve the right to suspend or terminate your account if you violate these terms.

6.1 No Financial Advice

The Service is a technical tool for monitoring and controlling trading agents. Nothing in the Service constitutes financial advice, investment advice, trading advice, or any other kind of professional advice. We do not recommend any trading strategy, asset, or course of action.

6.2 Trading Risk

Cryptocurrency and digital asset trading involves substantial risk of loss. You alone control your API keys, run the OpenClaw skill on your infrastructure, and make all trading decisions. You acknowledge and agree that:

• You may lose some or all of your invested capital
• Past performance (paper or live) is not indicative of future results
• AI agents can hallucinate, fail, or execute unexpectedly even with safety layers
• The pre-trade risk gate, independent stop watcher, dual-fire emergency commands, state reconciliation, and audit trail reduce but do not eliminate risk
• Network failures, exchange outages, or local skill crashes can occur
• You are solely responsible for your trading decisions, API key security, and compliance

6.3 No Guarantees

We do not guarantee profitability, perfect execution, or that safety features (risk gate, stop watcher from LIVE_STOP_WATCHER_PLAN.md, dual-fire controls, snapshot reconciliation) will prevent all losses. The Service is provided "as is". All trading occurs on your self-hosted skill and exchange accounts.

6.4 Emergency Controls & Live Mode

The dashboard provides prominent kill/flatten/pause controls that fire via both WebSocket and HTTP fallback. The skill includes an independent PositionWatcher for stops. However, we make no warranty that these will always succeed. You must monitor your positions on the exchange directly. Live mode requires explicit typed confirmation ("GO LIVE").

6.5 Intelligence Service (Maximum Legal Distancing)

The optional hosted Intelligence Service provides signals, regime detection, risk calculations, and learning capabilities to your self-hosted OpenClaw skill. To maximize legal separation:

• All intelligence outputs are informational signals only
• Your local OpenClaw agent makes all final trading decisions
• We make no representation about the accuracy, profitability, or suitability of any signal
• You agree that you will not rely on the Intelligence Service as the basis for any trading decision
• Any use of the Intelligence Service is at your sole and exclusive risk
• The Intelligence Service does not constitute investment advice, trading recommendations, or a substitute for your own judgment

7.1 Our Intellectual Property

The dashboard and relay are owned by ReefClaw. The OpenClaw skill/plugin is distributed under MIT license (see plugin/skills/SKILL.md frontmatter). You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service and skill in accordance with these Terms and the MIT license. The skill is provided "as is" with no warranties.

7.2 Your Data

You retain all rights to your data, including your trading data, agent configurations, and communications. We do not claim ownership of any data that passes through the relay.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, and incorporate that feedback without obligation to you.

8.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, infrastructure issues, or circumstances beyond our control.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes that may affect your use of the Service.

8.3 Beta Status

The Service is currently in beta. Features, pricing, and availability may change. Beta users acknowledge that the Service may contain bugs, incomplete features, or performance issues.

The dashboard, relay, and core OpenClaw skill are currently provided free. The skill is distributed via ClawHub and runs on your infrastructure. We may introduce paid tiers or premium features in the future with advance notice. The core "window + skill" functionality for paper and live trading will remain available.

To the maximum extent permitted by applicable law:

• The Service (dashboard, relay, and OpenClaw skill) is provided "as is" and "as available" without warranties of any kind. The skill runs on your infrastructure. We provide tools (risk gate, stop watcher, dual-fire controls, reconciliation) but make no guarantee they will prevent losses.
• ReefClaw shall not be liable for any trading losses, even if caused by bugs in the skill, errors in the hosted Intelligence Service, failed emergency commands, drift between dashboard and exchange state, or any other issue. You control the keys, run the agent locally, and make all trading decisions.
• Our total aggregate liability shall not exceed the greater of (a) fees paid to us in the twelve months preceding the claim, or (b) one hundred US dollars ($100).
• This limitation applies even if you have been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless ReefClaw and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or relating to:

• Your use of the Service
• Your trading activities
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights

12.1 By You

You may terminate your account at any time by contacting us. Upon termination, your connection tokens will be revoked and your agent will be disconnected from the relay.

12.2 By Us

We may suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to: violation of these Terms, abusive or fraudulent activity, extended inactivity, or legal requirements.

12.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will survive.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ReefClaw is incorporated, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of a mutually agreed arbitration body. You agree that any proceedings will be conducted on an individual basis and not as a class action.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and protect your information.

The Service integrates with or relies on third-party services including:

• OpenClaw — the trading agent framework that your agent runs on
• Cryptocurrency exchanges — where your agent executes trades
• Clerk — authentication provider
• Cloudflare / PartyKit — relay infrastructure

We are not responsible for the availability, accuracy, or conduct of these third-party services. Your use of third-party services is subject to their respective terms and conditions.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ReefClaw regarding your use of the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
